The terms “we”, “us” and “our” in these Terms of Use refer to Klutch. Your use of this website, our apps, and any of our content on social media (together, the “Site”), on any computer, mobile phone, tablet or other device, is subject to these Terms of Use.
Consent
By using, accessing or browsing the Site, you signify that you have read, understood and agree to be bound by these Terms of Use in their entirety, in addition to any other applicable laws or regulations. If you do not agree to any of these Terms of Use, please do not use the Site.
Privacy
Using the Site may involve submitting personal information via a form or other means of communication. Where this occurs, we collect your personal information subject to our Privacy Policy, which is governed by the Australian Privacy Principles under the Privacy Act 1988 (Cth). By using the Site, you agree to the terms of our Privacy Policy.
We may use analytics and website behaviour tools (such as Google Analytics) to understand how visitors use our Site and to improve our content and services. By using the Site, you agree that we and these providers may collect and use this data as described in our Privacy Policy.
Your Obligations
When using the Site, you must not:

- Use the Site in any way that could damage our reputation or goodwill;
- Allow any third party to use the Site other than as set out in these Terms of Use;

- Transmit or input into the Site any files that may damage another person's device or software, content that may be offensive, or material in violation of any law (including material protected by copyright or trade secrets you do not have the right to use); or
- Decompile, reverse engineer, disassemble, modify, or create derivative works of the Site.
You must take reasonable steps to protect the Site from unauthorised access, use or damage, and keep any usernames and passwords required to access the Site (where applicable) secure and confidential. You must notify us immediately of any unauthorised use of your login details or other breach of security.

Any information on the Site – including blog posts, articles, insights, resources or content received through a mailing list – is general information only. It does not constitute tax, legal, financial or other professional advice, and should not be relied on as such. Nothing on the Site should be taken as a recommendation of any particular product, structure or course of action for your individual circumstances.

Intellectual Property
All content featured or displayed on the Site – including graphics, logos, icons, trademarks, text, designs, photographs, images, data compilations, software, and all associated intellectual property rights (“our content”) – is owned by us, our affiliates, or our licensors and content providers. You acknowledge and agree that:
- Our content remains our exclusive property (or that of our affiliates, licensors or content providers);
- You may access our content on the Site in accordance with these Terms of Use and the Copyright Act 1968 (Cth) and other applicable law;
- Your use of our content is for personal, informational and non-commercial purposes only, and does not grant you any rights in our intellectual property; and
- You will not copy, reproduce, distribute, transmit, publish, licence, create derivative works from, or otherwise reuse any of our content without our express written authorisation.
Third Party Sites and Tools
The Site does not currently link to any third-party applications or client-facing tools. Where we do link to other websites operated by third parties in the future (“Third Party Sites”), the following applies:
We have not verified the content of any Third Party Sites and do not endorse, monitor, or control them. We make no warranties as to the quality, accuracy or lawfulness of content on Third Party Sites. Your access to Third Party Sites via the Site is at your own risk.
We may also provide access to third-party tools that we do not control. Such tools are provided “as is” and “as available”, without warranty of any kind, and your use of them is entirely at your own risk and discretion.
Updates
We may change, modify, add to or remove portions of these Terms of Use at any time, without notice, effective on posting to the Site. Your continued use of the Site after any change signifies your acceptance of the updated Terms of Use.
We may also temporarily or permanently suspend or restrict access to the Site at any time, including for maintenance or updates, and will not be liable for any resulting interruption or loss of access.
Limitation of Liability
To the maximum extent permitted by law:
- We exclude all warranties and representations as to the correctness, accuracy, adequacy, completeness or reliability of any information or content on the Site or any Third Party Site;
- We do not guarantee that the Site, or the servers that support it, are free from defects or viruses, or that access will be uninterrupted or error-free;
- We accept no liability for loss of data caused wholly or partly by factors beyond our reasonable control, including hosting faults, network or internet issues, or your own equipment; and
- Neither we, nor our partners, directors, employees, contractors or agents, will be liable for any direct, indirect or consequential loss or damage arising from your use of, or inability to use, the Site, or your reliance on its content.
Our liability is limited by a scheme approved under Professional Standards Legislation. Further information is available from the Professional Standards Councils' website: psc.gov.au.
Indemnity
You agree to indemnify and keep indemnified Klutch and its related entities, employees and agents against any loss or liability arising from any claim, demand or proceeding against us that results from your breach of these Terms of Use.
Entire Agreement
These Terms of Use, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and us in relation to your use of the Site.
Applicable Law
These Terms of Use are governed by the laws of the State of Victoria, Australia. By using the Site, you submit to the exclusive jurisdiction of the courts of Victoria.
The Site may be accessed from Australia or overseas. We make no representation that its content complies with the laws of any country outside Australia. If you access the Site from outside Australia, you do so at your own risk and are responsible for compliance with local laws.
Feedback and Reviews
From time to time we may invite you to provide feedback or a review. You are not obliged to do so. Where you post feedback publicly, or intend to post a negative review, we ask that you first give us the opportunity to understand and address your concerns directly.
Professional Registration and Complaints
Klutch Advisory is registered with the Tax Practitioners Board (TPB) as a registered tax agent, registration number 26350271. The TPB maintains a public register of registered, suspended and deregistered tax and BAS agents at tpb.gov.au.
If you have a complaint about a tax agent service we've provided, please contact us in the first instance at hello@klutchadvisory.com.au so we can work to resolve it. You may also lodge a complaint with the TPB in accordance with its complaints process at tpb.gov.au.
